GENERAL TERMS OF SERVICE AGREEMENT
ConnectingPM and TalentOcean Services

For Clients and Professionals Registering for:

– TalentOcean Premium Services
– TalentOcean for Professionals Services
– ConnectingPM Consulting, Coaching or Professional Services

This ConnectingPM Agreement (the “Agreement”) is entered into between ConnectingPM and the entity agreeing to this Agreement (“Client” or “Professional”). ConnectingPM, with offices at Amaliastraat 12, Amsterdam, The Netherlands 1052 GN with Chamber of Commerce No. NL68721129.

This Agreement is effective for TalentOcean Subscription, Subscription, Package, or Product (the “Service”) as of the date the Client or Professional clicks the “Register” button on our website at https://connectingpm.com/register/ – or by engaging directly for the Premium Services – or, if applicable, the date an Agreement is countersigned (the “Effective Date”).

If the Client doesn’t have the legal authority to bind the Clients’ employer or the applicable entity please do not click the “I Accept the Terms and Conditions” button below (or, if applicable, do not sign this Agreement).

By using the Service, the Client represents and warrants that the Client meets all the requirements listed below, and that the Client won’t use the Service in a way that violates any laws or regulations. Note that by representing and warranting, the Clients are making a legally enforceable promise.

ConnectingPM may refuse service, close accounts of any users, and change eligibility requirements at any time.

This Agreement governs Client access to and the use of the Services as ordered in the applicable Order Form. If the Client is accepting on behalf of the Client employer or another entity, the Client represents and warrants that:

1. Eligibility

– be at least eighteen (18) years old will full legal authority to bind your company, – your employer or the applicable entity to this Agreement;
– complete the ordering process;
– agree to this Agreement;
– provide true, complete, and up-to-date contact and billing information; and
– not be – either individually or as part of a group, entity or state, subject to EU, US and UN sanctions, embargoes, and bans that prohibit the use of this Service

2. Services

3. TalentOcean Services

This Service is billed on a subscription basis (also referred to as “Subscription” or “Subscriptions”) and individually, for packages comprised of batches of Professional Insights.

For Subscriptions: the Client will be billed in advance on a monthly recurring basis (“Billing Cycle”), depending on the type of subscription plan selected when subscribing to the Service.

For Professional Insights: the Client will be billed per package on request and at point of sale. Credits for Professional Insights will be displayed on the Client Dashboard and decremented as individuals’ Insights are requested.

At the end of each Billing Cycle, the Subscription will automatically renew under the exact same conditions unless cancelled. The Client may cancel a Subscription renewal either through the Client Portal or by contacting ConnectingPM.

4. TalentOcean Premium Services

This Service is billed with each submission of a TalentOcean Premium Service Role request, on an individual basis.

5. TalentOcean for Professionals Services

This Service is free to professional registrants.

6. Payment Methods

A valid payment method of a credit or debit card, PayPal or bank transfer is required to process the payment for the Service. The Client shall provide ConnectingPM with accurate and complete billing information including full name, address, state, zip code, country, a valid payment method along with the completed Order form.

By submitting an Order form and payment information, the Client automatically authorizes ConnectingPM to charge all Service fees and individually itemized packages or services incurred through the Client account to any such payment instruments.

Should automatic billing fail to occur for any reason, ConnectingPM will issue an electronic invoice indicating that the Client must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

7. Coupon Offers

At the discretion of ConnectingPM, Clients may be offered discounted services through pre-defined Coupon codes. This includes – but is not limited to – the following:

– Campaign Offers (a pre-defined discount percentage off the Service).
– Pilot Scheme “Free-Trial” Offers (a limited-time offer for a “free” Service).

Coupon offers are valid for one-time use only.

8. Changes

Changes to Services. Clients may elect to cancel or change a purchased Service. NO PRORATED REFUNDS will be issued if cancelled before the end of a billing cycle. The Client may continue to access the Service until the end of the billing cycle.

9. Other Modifications

ConnectingPM, in its sole discretion and at any time, may make changes to the Services, which may include:

– Change the price of services at any time, however, any Service fee change shall become effective at the end of the then-current Billing Cycle.
– Adding, updating, or discontinuing any Service or portions of feature(s) of the Service. ConnectingPM will notify Clients of any material change to the Service via email.

ConnectingPM shall provide reasonable prior notice of any change in Service fees to give the Client an opportunity to terminate the Service before such modifications become effective.

Continued use of the Service after the modification of the Service fee comes into effect constitutes the Clients agreement to pay the modified Service fee amount.

12. Role Postings: Based on the selected Service, there are a predefined number of TalentOcean Roles you are eligible to be posted on TalentOcean on a monthly basis. The Client is required to complete the TalentOcean Roles submission form to provide the comprehensive job description for the vacancy.

13. Anonymous Insights

Client will be presented with a TalentOcean Anonymous Insight without personally identifiable details, for objective and non-discriminatory pre-selection purposes. Client must not attempt to determine or define the identification of the anonymous individual, unless there has been a request to purchase a subsequent TalentOcean Professional Insight for the named individual.

14. Professional Insights

Based on the selected Service, there are a predefined number of TalentOcean Professional Insights you are eligible to request on a monthly basis. The Client must use the Dashboard List Options to request a TalentOcean Professional Insight. Any requests that exceed the number available can be purchased at the presented rate or the Client’s request will be rejected. The Client will receive an email with the option to purchase (via payment link) or reduce and prioritize the requested Professional IDs based on their monthly allotment.

Professional Insights are provided as a “point in time” document for each purchase. Where a Professional Insight has been updated the Client may, at their own discretion, re-purchase an updated version which will be decremented using the same accounting process as for the initial Professional Insight purchase.

15. TalentOcean Premium Services

16. Role Postings for TalentOcean Premium Services

Based on an approved application submission, eligible Clients experience a 21-day service period where a single vacancy is published, promoted and sourced to shortlist the top 25 TalentOcean Professionals. The Client must:

1) Have a TalentOcean Premium Services Account number;

2) Complete the TalentOcean Premium Services Role requirements of the vacancy following instructions provided;

3) Complete order and purchase or order confirmation.

17. Professional Insights for TalentOcean Premium Services

Based on a previously published TalentOcean Premium Services Role, a maximum of 25 TalentOcean Professional Insights will be presented to the Client during that period. ConnectingPM informs all Professionals when their Professional Insights have been requested. The Client agrees to inform ConnectingPM of any Professional Insights that will not proceed to a formal interview within 5 business days and ConnectingPM will notify the Professional that the Client has decided to pursue other Professionals.

18. Use Restrictions

The Client will not, and will not allow third parties under its control to copy, modify, create a derivative work of, reverse engineer, decompile, translate, disassemble, or otherwise attempt to extract any content of the Services (except to the extent such restriction is expressly prohibited by applicable law).

19. Service Period and Termination

This Agreement will remain in effect from the date the Client subscribes to the Service, “Effective Date” until the Client cancels the Service in the Client portal or is terminated in accordance with the Agreement. When applicable, the Client will receive regular email notifications regarding the Service renewal date which will automatically be charged using the payment method defined during the ordering process.

21. Termination

ConnectingPM may terminate or suspend the Client account, without prior notice or liability, for any reason, including without limitation if the Client breaches the Agreement.

Upon termination, the Client right to use the Service shall cease on the last day of the billing cycle. If the Client wishes to terminate their account, the Client may simply discontinue using the Service.

22. Effects of Termination

If the Agreement terminates or expires, then all Order Forms also terminate or expire, as applicable. If the Agreement terminates or expires, then all rights and access to the Services under the Agreement will terminate (including access to the Assessment Portal and Client Data).

23. Intellectual Property

24. The Service

The Service and its original content, features, and functionality are and shall remain the exclusive property of ConnectingPM and its licensors. The Service is protected by copyright, trademark, and other laws of both the Netherlands and foreign countries. Our copyright, trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ConnectingPM. The Client agrees that:

ConnectingPM shall hold the exclusive property rights to the (aggregated and anonymized) test scores and may use these for performing and improving its Services (e.g. questions and answers, benchmarking of scores).

25. Brand Features

The Client may not use branding for ConnectingPM or TalentOcean without written consent. Please contact info@connectingpm.com.

26. Feedback

At its option, the Client may provide feedback about the Services to ConnectingPM. If Client provides Feedback, then Client assigns to ConnectingPM all rights, titles, and interests in that Feedback.

27. Accounts for the Service

ConnectingPM provides the Client with unlimited access Services and if applicable, a Portal to manage TalentOcean Role and Professional Insights requests along with subscription and payment details.

When the Client creates an account with ConnectingPM, the Client must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Agreement, which may result in termination of the Clients account on the Service.

The Client is responsible for safeguarding the password that is used to access the Service and for any activities or actions under the Client password, whether the password is with the ConnectingPM Service or a third-party service.

The Client agrees not to disclose their password to any third party. The Client must notify ConnectingPM immediately upon becoming aware of any breach of security or unauthorized use of the Client account.

The Client may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than the Client without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

28. Authorized Use

The Client may only use the Service for lawful purposes and in a manner consistent with the nature and purpose of ConnectingPM.

The Client agrees to maintain the privacy of TalentOcean Professionals personal information and to use the data provided by ConnectingPM for the purpose of interviewing, evaluating and hiring TalentOcean for Professionals for opportunities within their companies or on behalf of their clients.

The Client must not use the Service to assess Professionals for any jobs which are unlawful, unsafe, offensive, discriminatory, or inappropriate.

The Client must not use the Service to solicit information from Professionals that could be used to discriminate against them.

Unauthorized use of the Service may be a criminal offense and/or give rise to a claim for damages.

29. Marketing and Publicity

The Client may state publicly that it is a ConnectingPM or TalentOcean Client and display ConnectingPM or TalentOcean Brand Features in accordance with Trademark Guidelines and this Agreement. ConnectingPM may request in writing to promote the Client as a buyer of ConnectingPM or TalentOcean services. Any use of a party’s Brand Features will insure to the benefit of the party holding Intellectual Property Rights to those Brand Features. A party may revoke the other party’s right to use its Brand Features with written notice to the other party and a reasonable period to stop the use.

30. Data Protection

The Client acknowledges that information about the Client and the Content posted will be collected, held, and used by us in accordance with The ConnectingPM Privacy Policy.

31. Limited Liability

In no event shall ConnectingPM, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from;

– the Client access to or use of or inability to access or use the Service;
– any conduct or content of any third party on the Service;
– any content obtained from the Service; and
– unauthorized access, use or alteration of the Client transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Such limitations shall not apply if the damages are the result of a deliberate act or gross negligence on the part of ConnectingPM or its senior management. In any case shall ConnectingPM’s aggregate liability under this Agreement be limited to the fees actually paid by the Client to ConnectingPM in the last Billing Cycle.

31. Disclaimer

The Client use of the Service is at their sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

ConnectingPM its subsidiaries, affiliates, and its licensors do not warrant that:

– the Service will function uninterrupted, secure or available at any particular time or location;
– any errors or defects will be corrected;
– the Service is free of viruses or other harmful components; or
– the results of using the Service will meet the Client requirements.

32. Governing Law

This Agreement shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

All disputes between ConnectingPM and the Client (whether or not such dispute involves a third party) shall be submitted exclusively to the competent court of law in Amsterdam, the Netherlands

Our failure to enforce any right or provision of this Agreement shall not be considered a waiver of those rights. If any provision of this Agreement is held to be invalid or unenforceable by a court, the remaining provisions of this Agreement shall remain in effect. This Agreement constitutes the entire agreement between us regarding our Service, and supersedes and replaces any prior agreements we might have between us regarding the Service.

33. Partial Invalidity

If, at any time, any provision of the Agreement is or becomes illegal, invalid, or unenforceable in any respect under any law of any jurisdiction, neither the legality, validity, or enforceability of the remaining provisions nor the legality, validity, or enforceability of such provision under the law of any other jurisdiction shall in any way be affected or impaired.

34. Agreement Changes

ConnectingPM reserves the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change shall be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, the Client agrees to be bound by the revised terms. If the Client does not agree to the new terms, please stop using the Service.

This Agreement governs users access to and participation in the ConnectingPM TalentOcean for Professionals Services as applied for in the applicable Professional Registration process. The user represents and warrants that they are:

1. Eligibility

– at least eighteen (18) years old will full legal authority to bind yourself to this Agreement;
– complete the application (including assessment) process;
– agree to this Agreement; and
– provide true, complete, and up-to-date information;

2. Role Applications

Any time you submit your Availability for Roles, you represent

– that you have read and understood the Privacy Policy.
– that you agree to these Terms and Conditions (the “Agreement”):

By registering on TalentOcean, you understand that you are joining the TalentOcean for Professionals Services for persons seeking employment opportunities (“Professionals”). You consent that your application and assessment data can be anonymously published on the Professional Dashboard on connectingpm.com (“Website”), shared with persons and organizations seeking qualified Professionals for employment vacancies (“Clients”) and who make purchases on behalf of multiple other parties and employment intermediaries (“Employers” or “Customers”). ConnectingPM (“ConnectingPM B.V.”) may also act as an employment broker on behalf of Clients who purchase such services through their affiliates. You acknowledge and agree that your license to use the Website is automatically revoked if you attempt to use the Website for any other purpose. If you access or use the Website in your capacity as an employee or other representative of an Employer or Recruiter, you agree to this Agreement on behalf of yourself and the applicable Employer, as applicable, and you represent and warrant that you have the authority to bind such Employer, as applicable, to this Agreement.

We may change this Agreement by notifying you of such changes by reasonable means, including by posting a revised Agreement on the Website. Such changes will not apply to any claim prior to the date we post the revised Agreement containing such changes or if we have otherwise notified you of such changes. Visiting or using the Website after any changes to this Agreement confirms your acceptance of such changes. The Last Updated section will indicate when this Agreement was last modified. We may change or discontinue all or any part of the Website (including access to the Website through external links) at any time and without liability; charge, change or waive any fees required to use the Website; or provide opportunities to some or all users of the Website.

3. Professional Applications

By registering your details, completing an Assessment and by submitting your application for an open Role (“Professional Application”), you are requesting and authorizing ConnectingPM to make your information available to third parties, such as Recruiters, HR Departments and recruiting organizations that ConnectingPM believes may be interested in you. With your submission, ConnectingPM will create a (“CPMID”) that will be shared anonymously on the Website and a TalentOcean Insight that includes personally identifiable contact information (resume/CV, cover letter, email, personal introduction audio/video, recorded interviews, or otherwise) shared privately to Recruiters upon their request – also knows as a TalentOcean (Anonymous or Professional) Insight.

Submitting a Professional Application does not guarantee that you will be interviewed or hired.

ConnectingPM will notify you via the supplied email address when there is interest in your anonymous TalentOcean Anonymous Insight.

ConnectingPM is not responsible for the content, accuracy, completeness, legality, reliability or availability of Jobs, Recruiters and Employers and disclaims all liability.

ConnectingPM accepts no responsibility for any Professional or application details you post, send, or receive through the Website and disclaims all liability for it. It is your responsibility to check your Professional details including resume/CV to see if it contains the correct information or information you would like to include or update. If you see any inaccuracies in such material, it is your responsibility to correct such information or contact ConnectingPM to have it done.

To protect your privacy, ConnectingPM will assign you a (“Professional ID”). ConnectingPM reserves the right to limit your ability to remove your Professional ID at any time to prevent illegal conduct, reduce fraud, or for other reasons at ConnectingPM’s discretion.

ConnectingPM accepts no responsibility for any resume or job application information you post, send, or receive through the Website and disclaims all liability for it. It is your responsibility to check your Professional Application to see if it contains the correct information or information you would like to include or update.

ConnectingPM may also automatically send you Professional analytics and Recruiter inquiries to the email address you used to submit your application.

Any information you submit through the Professional Application or Website, including Personal Information contained in a resume, job application, recordings, interviews or responses to screening questions and assessments (“Professional Application”), is governed by this Agreement (including Professionals Job Data Section below) and by the Privacy Policy of ConnectingPM.

Where ConnectingPM has shared your Professional Insight to a Recruiter, ConnectingPM has no control over how the Employer uses or discloses that information. If you wish to request that the Recruiter delete, amend or maintain such information, you must submit this request directly to the Recruiter.

ConnectingPM may use your application materials to determine whether you may be interested in a TalentOcean Role Posting and ConnectingPM may contact you regarding such TalentOcean Role Posting.

ConnectingPM may retain such information whether a TalentOcean Role Post has been closed or is no longer available on the Website.

For the sake of preserving the quality of the Website and Services, ConnectingPM may, in its sole discretion, impose restrictions on your ability to apply to TalentOcean Role Postings or other ConnectingPM services. In addition, if you indicate your interest in a TalentOcean Role Posting via Direct Application or if you confirm that you will participate in a Hiring Event, you submit your resume and application information to ConnectingPM and you request and authorize ConnectingPM to make such information available to the relevant Recruiter(s) and Employer(s) for the applicable TalentOcean Role Posting(s). If you request ConnectingPM to send an application or message, including but not limited to a signed written offer, to an Employer through the Apply Directly or ConnectingPM forwarding system, or save an application, you understand that this is not a guarantee and that ConnectingPM has the right to reschedule this application or posting.

You acknowledge and agree that Recruiters may request that ConnectingPM consolidate your application materials, resume, personal introduction audio/video, recorded interviews, answers to screening questions, answers to assessment questions, and other information you provide to ConnectingPM into one document. You also agree that ConnectingPM may compile these application materials on your behalf.

When you apply for a TalentOcean Role posting on ConnectingPM, you agree to ConnectingPM’s automatic processing of your application, as such processing is an essential part of this Agreement. In addition, you agree that your applications and responses you receive from the Recruiter (including offer letters) will be processed and analyzed by ConnectingPM in accordance with this Agreement and ConnectingPM’s Privacy Policy.
If you require alternative methods of screening or applying, you should contact the Recruiter directly to request this, as ConnectingPM is not responsible for an Employer’s application process.

By using ConnectingPM, you agree that ConnectingPM is not responsible for the content of an Employer’s application, messages, screening questions, or assessments or its format or method of delivery, and that ConnectingPM’s receipt of your application by a Recruiter does not guarantee receipt of messages from the Recruiter by you.

Please note that ConnectingPM does not determine the questions asked by Recruiters or Employers or the qualification criteria for TalentOcean vacancies. Some questions may be labelled “Optional.” This just means that the application can be sent to the Recruiter without replying.

ConnectingPM does not warrant that the Recruiter will consider any such application or make any particular determination with respect to such application.

ConnectingPM may notify Professionals that an Employer requirement from a TalentOcean Role posting does not appear to be present on a resume or application. This information is presented without warranty and ConnectingPM does not warrant that updating a resume or application will lead to a job offer.

ConnectingPM does not guarantee the identity of any Recruiter, Employer or employees and encourages Professionals to exercise due care during the application process. ConnectingPM makes no warranty regarding health and safety measures in an Employer’s recruitment or interview process. ConnectingPM encourages Professionals to follow personal health and safety best practices as recommended by the World Health Organization or a similar institution. ConnectingPM does not guarantee the validity of any TalentOcean Role posting and encourages Professionals to check its validity before making any decisions about their current employment situation. Professionals are responsible for checking the accuracy of a Recruiter’s or Employer’s details or the validity of a vacancy.

ConnectingPM may use application materials (including resumes and answers to screening questions) and the recency of your activity on ConnectingPM to determine whether the words in a Professional’s resume and answers to screening questions match the words in a Job or Resume search and vice versa. You accept this and you authorize ConnectingPM to distinguish relevant resumes and screening questions from irrelevant resumes and screening questions and present them to the Recruiter as relevant or irrelevant options. ConnectingPM may also use this information to improve the Website or other ConnectingPM products or services (including displaying or otherwise making available potentially relevant TalentOcean Role Postings and resumes to Professionals and Recruiter).

ConnectingPM may also flag items in your previous application materials (including items on your resume and previous responses to screening questions) that match qualifications in the TalentOcean Role Posting or may flag items that appear in the TalentOcean Role posting that do not match your application materials. These markings do not mean that you are or are not qualified for the job or that you should or should not apply for it. Applying for a TalentOcean Role does not guarantee that you will be interviewed or hired. Even when ConnectingPM highlights items or when a TalentOcean Role is shared with you, ConnectingPM is not responsible for the content, accuracy, completeness, legality, reliability, or availability of any TalentOcean Role or markings and disclaims all liability for them.

4. Virtual Communication

Recruiters may provide you with the opportunity to participate in virtual and external communications using ConnectingPM products, including but not limited to phone interviews, virtual meetings and video interviews (“Virtual Interviews”). You understand that ConnectingPM is not a telecommunications provider and that ConnectingPM only provides you with the option to communicate with Recruiters through services that may be provided by third party providers. Please note that this telecommunications service may rely on the functionality of third-party providers and technical delays or outages may occur with these providers. We cannot guarantee the technical capabilities of third parties to receive, transmit or support such telephone or video communications. ConnectingPM does not guarantee any aspect of your Virtual Interview Experience, including transmission of telephone or video communications, quality of audio/visual material, data security or data usage and restrictions. ConnectingPM will not be liable for any claims arising out of your use of Virtual Interviews and you will indemnify ConnectingPM against any such claims.

You understand that ConnectingPM cannot guarantee a Recruiters schedule or availability to conduct Virtual Interviews and that ConnectingPM cannot guarantee the validity of any contact information provided to us. You also understand that the Recruiter is responsible for any and all questions, comments or recruitment decisions made. In addition, Recruiters are responsible for necessary alternative solutions during Virtual Interviews.

YOU UNDERSTAND AND AGREE THAT THERE IS NO PROTECTION FOR ANY INFORMATION YOU SHARE OR DATA THAT YOU TRANSFER DURING YOUR PARTICIPATION IN VIRTUAL APPLICATION CALLS, INCLUDING BUT NOT LIMITED TO AUDIO/VISUAL CONDITIONS OR PHOTOGRAPHS OR PHOTOGRAPHS BY YOU. YOU ACKNOWLEDGE AND AGREE THAT CONNECTINGPM IS NOT RESPONSIBLE FOR SECURING OR PROTECTING ANY DATA OR INFORMATION YOU SHARE OR TRANSFER DURING YOUR USE OF VIRTUAL APPLICATION CALLS. CONNECTINGPM ASSUMES NO LIABILITY FOR MISUSE OF ANY DATA YOU SHARE OR TRANSFER THROUGH THE USE OF VIRTUAL APPLICATION CALLS.
YOU UNDERSTAND AND AGREE THAT YOU ACCESS AND USE VIRTUAL APPLICATION CALLS AT YOUR SOLE DISCRETION AND RISK AND THAT ACTUALLY DISCLAIM ANY LIABILITY ARISING FROM YOUR USE OF VIRTUAL APPLICATION CALLS.

5. TalentOcean Assessments (“Professional Insights”)

TalentOcean Assessments are online questionnaires for the provision and assessment of skills (“Professional Insights”), and of Professionals’ responses (“Scores”) through the Website. After you submit a TalentOcean Assessment, the Recruiter may view the Scores on the Website.

A TalentOcean Assessment is solely intended to evaluate personal, professional and project management skills. It is not a method of evaluating a Professional’s overall suitability for a vacancy. Only the Recruiter viewing your results will determine whether a particular skill is relevant to a TalentOcean Role posting and whether a Professional is suitable for a TalentOcean Role posting. Joining the TalentOcean for Professionals service does not guarantee a job, a job offer, a job offer at a specified salary or further communication or action from a Recruiter. A Recruiter alone determines whether the Professional is suitable based on quantifiable attributes and Scores. ConnectingPM will cancel any applications that do not have a Professional Application and Assessment completed within 30-days. You acknowledge that these disclaimers are sent at the discretion of the ConnectingPM and that ConnectingPM will determine if the Professional can re-apply in the future.

You acknowledge and understand that Recruiters and Employers (or their employment agents) select which Professionals are associated with their open positions, ConnectingPM does not determine which Professionals are selected, and ConnectingPM cannot influence Recruiters’ or Employers’ choice. You agree that ConnectingPM is not responsible for providing alternative screening methods as required by the Americans with Disabilities Act or other equivalent legislation, and that Recruiters and Employers are solely responsible for providing such alternative methods. If you require a modified form or alternative methods for a TalentOcean Assessment, screening or application, you must indicate this to the Recruiter. ConnectingPM may provide a means for you to request such an alternative method or solution from the Recruiter. ConnectingPM makes no warranty that the Recruiter has received or will respond to any such request. ConnectingPM does not warrant that the delivery method of an Employers recruitment process will comply with the Americans with Disabilities Act or any equivalent law.

You agree and acknowledge that TalentOcean Assessments and Scores can only be useful and valuable if the content is kept confidential. You therefore agree to keep the content of TalentOcean Assessments and Scores confidential and not to reproduce or discuss them with others, except for communications between you and a Recruiter or Employer about the TalentOcean Assessment you received and the Score you received from ConnectingPM.

ConnectingPM may remove Assessments from the Website with or without cause and without any obligation or notice. Assessment links sent to you may remain active after a Recruiter pauses or closes their job campaign on ConnectingPM. When a Recruiter pauses or closes a Job (for example, after the Employer has hired someone),

ConnectingPM does not guarantee that the Recruiter will view associated notifications or updates. This includes Assessments, Scores and questions regarding alternative application methods.

ConnectingPM may also offer you the option to retake an Assessment (after proven training or 6-months). Your Score will then be associated with your TalentOcean Professional Insight and updated to the Website. You cannot control whether the Score is available to Recruiters viewing the Website

As a Professional, you agree that your Scores, applications, and other communications through the TalentOcean for Professionals service will be processed and analyzed by ConnectingPM in accordance with this Agreement and the Privacy Policy from ConnectingPM. You request and authorize ConnectingPM to make the data submitted in your Professional Applications and Scores available on the Website, to any Recruiters requesting your details in the form of TalentOcean Professional Insight. You understand that this is without warranty and that ConnectingPM reserves the right to display or reformat Scores in a manner that allows Recruiters to view your Scores along with Scores from other Professionals. ConnectingPM may collect the results of the Assessments of all selected Professionals for the purpose of displaying the percentile for your Scores. You also acknowledge that your request to ConnectingPM to send your Scores to a Recruiter cannot be cancelled and ConnectingPM does not warrant that any Recruiter will receive, access, read or respond to the Score, or that no errors occur in the data transfer. However, ConnectingPM may notify you when any of the above events occur.

ConnectingPM is not acting as an employment agency by providing the TalentOcean for Professionals service. By joining the TalentOcean for Professionals service, you acknowledge and agree that ConnectingPM’s involvement is limited to identifying and screening qualified Professionals for Recruiters. ConnectingPM provides only a tool that allows Recruiters to engage at their discretion. TalentOcean Professionals are solely responsible for the content in their Professional Applications and the Scores in their Assessment, requests for interviews or offers, any issues arising from a job acceptance or refusal, and any other issues arising from the ConnectingPM TalentOcean for Professionals service.

As a TalentOcean Professional, you agree that all rights you have under applicable employment, equality and discrimination laws, the US Fair Credit Reporting Act, corresponding state laws, and similar laws regulating consumer or credit reporting agencies in other countries can only be invoked against the Employer.

ConnectingPM has no outside interest in or liability for any agreements between an Employer and a Professional, regardless of whether ConnectingPM receives any compensation from the Employer in connection with the transaction. ConnectingPM shall not be liable for any costs or damages arising out of or in connection with any such transaction.

ConnectingPM is not responsible, and disclaims all liability, for the content, accuracy, validity, completeness, legality, reliability, or availability of the Website and the ConnectingPM Assessments tool.

6. Professionals Role Data

As a TalentOcean Professional, you take various actions on our Website and provide various types of information. For example, you search for jobs and ConnectingPM knows and records information regarding the jobs you search for and select, as well as the location of those jobs, the general salary range, or the level of experience of the jobs you view (if specified in the TalentOcean Role Postings), the TalentOcean Role Postings you respond to, the amount of activity or time of your most recent activity on ConnectingPM, information you provide directly to ConnectingPM including desired salary or previous experience, or information in the “About Me” section of your TalentOcean Insight or other conduct of you on the Website or other information you provide. You know exactly which data this is because you are the person who provided the information or performed the activities and because the data only relates to your activities. If you submit a Professional Application and Assessment, you agree that ConnectingPM may associate this data with your TalentOcean Insight and use the recorded factual data to present job opportunities and your anonymous profile to Recruiters who may be interested in a person who matches their job vacancies. You also agree that ConnectingPM may contact you based on this observed behaviour or information provided on behalf of Recruiters or ConnectingPM itself. Please note that the above actions do not include any information sent by you to a third party. ConnectingPM will not post any personally identifiable information on our website including your resume and personal introduction. Your information will only be shared with Recruiters who are paid Clients of ConnectingPM’s TalentOcean or TalentOcean Premium Services (see Terms of Service).

7. Pre-Hire Selection Platform

TalentOcean for Professionals is a pre-hire selection platform designed to anonymize, automate and streamline recruitment and employment decision processes for Recruiters, providing users with access to various filters for relevant attributes critical to objectively qualifying Professionals (“ConnectingPM TalentOcean for Professionals Service”). Recruiters may purchase ConnectingPM’s TalentOcean for Professionals Service for access to the Professionals details (“TalentOcean Insights”) that is published anonymously on the Website. You acknowledge and understand that Recruiters select the method and manner in which the Pre-hire Selection Platform is used for TalentOcean Role postings and that ConnectingPM and Recruiters determine the TalentOcean Role posting requirements and specific needs of its recruitment efforts. ConnectingPM does not influence or participate in the hiring decision process in the Recruiter’s recruitment activities. You further understand that ConnectingPM is not an employment broker as a result of the provision of the TalentOcean for Professionals service and related tools. When you join the TalentOcean for Professionals prog service ram, you understand that ConnectingPM does not recruit employees for an Employer or provide employment opportunities for Professionals. ConnectingPM offers the Pre-hire Selection Platform solely as a tool that allows Recruiters to anonymously identify qualified Professionals for their vacancies and Professionals to be evaluated objectively based on quantifiable attributes and not personally identifiable attributes.

8. Governing Law

This Agreement shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. All disputes between ConnectingPM and the Recruiter (whether or not such dispute involves a third party) shall be submitted exclusively to the competent court of law in Amsterdam, the Netherlands. Our failure to enforce any right or provision of this Agreement shall not be considered a waiver of those rights. If any provision of this Agreement is held to be invalid or unenforceable by a court, the remaining provisions of this Agreement shall remain in effect. This Agreement constitutes the entire agreement between us regarding our Service, and supersedes and replaces any prior agreements we might have between us regarding the Service.

9. Collective Process Indemnification

By using the Website and in exchange for the services offered by ConnectingPM, you acknowledge that ConnectingPM may provide them only under the terms and conditions set forth herein. As partial compensation for your use of the Website and these services, you agree not to sue ConnectingPM as a class claimant or class representative, join as a class claimant, or participate in any way as an injured party in a class action. lawsuit against ConnectingPM regarding your use of the Website. In addition, your participation in the TalentOcean for Professionals service, as a TalentOcean Professional, of the Website is free of charge and you acknowledge that part of the price you pay to use this Website, your acceptance of these Terms and Conditions includes this class action waiver. If you do not agree to any part of these terms, you may not use the Website. However, nothing in this section shall limit your rights to sue as an individual plaintiff, including in local court, subject to the Governing Law section above.

10. ConnectingPM Consulting and Coaching Services

All coaching & consulting services are priced and shared with customers after a 15-minute Initial Review with the customer to understand requirements.

Customer for coaching must complete Assessment prior to booking coaching session.

Customers of coaching and consulting services must agree to sign a mutual Non-Disclosure Agreement prior to the commencement of any coaching or consulting session.

ConnectingPM uses Microsoft Teams to facilitate all coaching and consulting sessions.
Payment in full is required before the commencement of services.

11. ConnectingPM Masterclasses

All Masterclass service provisions are inclusive of limited user access to instructional content, playbooks, templates and supporting documents, supplied at the point of sale.

Subsequent access to support forum features and professional service responses from ConnectingPM are provided for a period of 1 year from the date or purchase.

At the discretion of the Provider, forum features and professional service responses may be rescinded or removed without prior notice.
